These Terms of Service (“Terms”) are an agreement between you and LayerNine Ltd(“LayerNine”, “we”, “us” or “our”), a company registered in England & Wales, the operator of Breefd(the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
What Breefd does
Breefd helps you understand official documents. You upload a document — such as a letter, form, contract or notice — and we use automated (AI) processing to read it and generate a set of plain-English questions and answers explaining what it means. The original document and the generated answers are made available to you in the Breefd app.
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service.
Your account
To use the Service you must register an account with accurate information, including your name and email address. You are responsible for keeping your login details secure and for all activity that takes place under your account. Tell us promptly at hello.layernine@outlook.com if you believe your account has been compromised.
Verification messages
We may send you one-time codes and service-related notices by email (for example, to verify your address when you register). These messages are a necessary part of using the Service.
Plans and usage limits
The Service is currently offered on a free plan with a monthly allowance of pages you may process (shown in the app). We may introduce paid plans, change allowances, or change pricing in the future; any such changes will be made clear before they apply to you. We may also set limits on file size and supported file types.
AI-generated answers — no professional advice
The questions and answers Breefd produces are generated automatically using artificial intelligence based on the document you upload. They are provided for general information only. They may contain errors, omissions or misinterpretations, and they are not professional, financial, legal, medical or other expert advice. You are responsible for your own decisions and actions, and you should not rely on Breefd as a substitute for advice from a qualified professional or for reading the original document yourself.
Your content
“Your Content” means the documents you upload and the answers generated from them. You retain ownership of Your Content. You confirm that you have the right to upload each document, and you grant us a limited, non-exclusive licence to host, process and use Your Content solely to operate and provide the Service to you (for example, to read a document and generate answers from it). How we handle this information is described in our Privacy Policy.
Acceptable use
You agree not to:
- use the Service for any unlawful, harmful or fraudulent purpose;
- upload documents you do not have the right to share with us, or content that infringes the rights of others;
- attempt to disrupt, reverse engineer, scrape, overload or gain unauthorised access to the Service or its underlying systems;
- resell, sublicense or share access to your account without our permission.
Intellectual property
The Service, including the Breefd name, logo, software, design and content (excluding Your Content), is owned by LayerNine Ltd or its licensors and is protected by intellectual property laws. We grant you a personal, non-transferable, revocable right to use the Service in accordance with these Terms. No other rights are granted.
Third-party services
We rely on trusted third parties to deliver the Service, including providers of cloud hosting, email and AI processing. Your use of the Service is also subject to those providers’ terms where applicable. We are not responsible for third-party services we do not control.
Availability
We work to keep the Service running reliably but we do not guarantee that it will be uninterrupted or error-free (for example due to outages or maintenance). We may modify, suspend or discontinue features at any time.
Disclaimers
Except as expressly stated and as required by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose, or non-infringement.
Limitation of liability
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be excluded under applicable law. Subject to that:
- we are not liable for any indirect or consequential loss, or for loss of profits, revenue, data, or missed opportunities arising from your use of (or inability to use) the Service, or from any reliance on AI-generated answers; and
- our total liability to you for all claims relating to the Service in any 12-month period is limited to the amount you paid us for the Service in that period (or, where the Service was provided free of charge, to £100).
Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends; sections that by their nature should survive (such as intellectual property, disclaimers and limitation of liability) will continue to apply.
Changes to these Terms
We may update these Terms from time to time. If we make material changes we will take reasonable steps to notify you, for example by email or in the app. Your continued use of the Service after changes take effect means you accept the updated Terms.
Governing law
These Terms are governed by the laws of England & Wales, and the courts of England & Wales have non-exclusive jurisdiction over any dispute. If you are a consumer, you may also benefit from any mandatory provisions of the law of the country where you live.
